Access Bank Plc, a prominent Nigerian financial institution, has unveiled plans to acquire the National Bank of Kenya (NBK) from the KCB Group Plc, marking a significant move in its expansion strategy. The announcement, made via the bank’s official Twitter handle, disclosed that the agreement is binding and is subject to regulatory approvals from the Central Bank of Kenya.
Kenya Commercial Bank (KCB), the country’s second-largest lender, acquired NBK in a rescue deal orchestrated by the central bank in 2019. However, recent challenges with capital adequacy ratios have led to a reevaluation of KCB’s investment strategy, according to Eric Musau, Head of Research at Nairobi-based Standard Investment Bank.
Access Bank sees the acquisition as an opportunity to bolster its presence in Kenya and capitalize on the burgeoning trade activities in the region. The agreement, finalized on Wednesday, entails KCB selling 100% of NBK at 1.25 times its book value. The transaction is slated to conclude within the next six to nine months, as per Paul Russo, CEO of KCB Group. Notably, KCB Group’s shares surged by 9.9% following the announcement of the deal.
This isn’t Access Bank’s first foray into the Kenyan market; it previously acquired Transnational Bank Limited in 2019. The move aligns with Access Bank’s ambition to increase its assets beyond its home market, aiming to double its share of assets outside Nigeria by 2027 amidst stiff competition from fintech firms and other financial institutions.
Furthermore, the acquisition builds on Access Bank’s expanding footprint in East Africa, complementing its operations in the Democratic Republic of Congo and Rwanda. Earlier ventures include acquiring stakes in Uganda’s Finance Trust Bank Limited, a controlling share in African Banking Corporation of Tanzania, and Standard Chartered Bank Plc’s consumer, private, and business-banking operations in Tanzania.
In a statement, Access Bank’s CEO, Mr. Roosevelt Ogbonna, remarked, “The transaction represents an important milestone for the bank as it moves us closer to the achievement of our five-year strategic plan through increased scale in the Kenyan market.”
Meanwhile, KCB Group’s CEO, Mr. Paul Russo, expressed confidence that the sale to Access Bank will revitalize NBK’s prospects. He emphasized that, after careful evaluation, accepting Access Group’s offer was deemed the best course of action to safeguard NBK’s value and future.
The acquisition underscores Access Bank’s commitment to strategic growth initiatives across the African continent, reflecting its track record of successful mergers and acquisitions.
